This Acceptable Use Policy (the "Policy" or "AUP") sets out the conduct, content and activities that are permitted and prohibited on Banzena, the hosted, multi-tenant e-commerce platform at banzena.com operated by Zargina Artificial Intelligence Services LLC ("Zargina", the "Company", "we", "us" or "our"). It applies to every person and organisation that accesses or uses the platform — including each merchant who builds and runs a store on Banzena (a "Merchant" or "you"), anyone acting on a Merchant's behalf, the storefronts and content Merchants publish, and the end customers who shop through those storefronts. The aim of this Policy is simple and serves everyone equally: to keep Banzena lawful, safe, trustworthy and reliable for all of the Merchants who depend on it. Because Banzena is a shared, multi-tenant environment in which many independent stores run side by side on the same infrastructure, conduct that harms the platform, abuses its resources or crosses the boundary into another Merchant's store harms everyone, and is treated seriously. This Policy is incorporated by reference into, and forms part of, the Banzena Terms of Service (the "Terms"); capitalised terms used but not defined here have the meaning given to them in the Terms. If there is any conflict between this Policy and the Terms on a matter of acceptable use, this Policy governs to the extent of that conflict. Read it alongside our Privacy Policy and our other platform policies, which together describe the rules for using Banzena. This Policy is not a substitute for the Terms, and nothing in it limits any right or remedy the Company has under the Terms, at law or in equity.

1. Purpose and Scope

This Policy governs all access to and use of the Banzena platform, in every form. That includes the AI store builder, hosting and content delivery, the admin dashboard, checkout and order, customer and store management tools, included custom domains and SSL, our APIs, and any other features, services, software, templates or content we make available (together, the "Service").

This Policy binds everyone who touches the Service. It applies to you as a Merchant; to your staff, contractors, agents and anyone you authorise to access your account or store; to the storefronts, products, pages, media, communications and other material published through your store ("Merchant Content"); and, through you, to the end customers who interact with your store. You are responsible for ensuring that everyone who uses the Service under, through or in connection with your account complies with this Policy, and the acts and omissions of those persons are treated as your own acts and omissions for the purposes of this Policy and the Terms.

By creating an account, accessing the Service or publishing a store, you acknowledge that you have read, understood and agree to comply with this Policy. If you do not agree, you must not access or use the Service. Your right to access and use the Service is conditional on, and continues only for so long as you remain in, compliance with this Policy and the Terms.

2. General Principle: Lawful and Responsible Use

You must use the Service only for lawful purposes and in a responsible, honest and good-faith manner. You must comply with all laws, regulations, sanctions regimes and binding industry rules that apply to you, to your business, to your products and services, and to the customers and territories you sell to — including, without limitation, consumer-protection, advertising, product-safety, export-control, anti-money-laundering, intellectual-property, privacy and data-protection laws, and the operating rules of the card networks and payment processors that handle your transactions.

This Policy does not attempt to list every possible misuse. The specific prohibitions below are illustrative, not exhaustive: conduct that is unlawful, fraudulent, deceptive, harmful, abusive or that undermines the integrity, security or availability of the Service is prohibited whether or not it is expressly named here. Where this Policy is silent, the general principle of lawful and responsible use applies, and we may treat conduct that is inconsistent with the spirit of this Policy as a violation of it. You are responsible for your own compliance, and obtaining any licence, registration, authorisation or consent that your activities require is your responsibility, not ours.

3. Prohibited Content

You must not use the Service to offer, sell, advertise, host, store, distribute, link to or otherwise make available any of the following content, products or services. This applies to your storefront, your product listings, your pages, your uploaded media, your store and customer communications, your domain and any other Merchant Content:

  • Illegal goods or services, or anything whose sale, supply, possession or advertisement is unlawful in a jurisdiction where you operate or to which you sell — including illegal drugs, controlled substances and related paraphernalia, and stolen goods.
  • Regulated or restricted goods and services offered without the licences, registrations, age-verification, authorisations or consents that the law requires — for example firearms, weapons, ammunition and explosives; alcohol, tobacco, vaping and nicotine products; pharmaceuticals, prescription items and medical devices; gambling; and financial, investment, cryptocurrency or other regulated services.
  • Counterfeit, replica or unauthorised items, and any content that infringes or misappropriates the intellectual-property rights of others — including pirated software, media or other works, trademark-infringing goods, and material that violates copyright, trademark, patent, trade-secret, database, publicity or other proprietary rights.
  • Child sexual abuse material ("CSAM"), any content that sexually exploits, endangers or depicts minors, and any sexually exploitative, non-consensual or human-trafficking-related content. CSAM is reported to the appropriate authorities and results in immediate termination.
  • Hateful, harassing or violent extremist content, including material that promotes or incites hatred, discrimination, violence or harm against individuals or groups, or that promotes, supports, finances or glorifies terrorism or violent extremism.
  • Fraudulent, deceptive, misleading or predatory offers — including counterfeit-currency or document schemes, pyramid, Ponzi or other deceptive money-making schemes, deceptive pricing or false claims, fake or paid-for reviews, and goods or services you do not intend or are not able to deliver.
  • Content that unlawfully infringes privacy or publicity rights, exposes other people's personal, financial or confidential data without authority, or that is defamatory, obscene, harassing or otherwise unlawful.
  • Malware, viruses, exploit kits, credential-stealing tools, phishing kits, or any code, file or service designed to harm, compromise or gain unauthorised access to devices, systems, networks or data.

4. Prohibited Activities

Regardless of the content involved, you must not engage in, facilitate, or permit any of the following activities on or through the Service:

  • Fraud and financial crime — fraud, deception, chargeback or refund abuse, money laundering, terrorist financing, sanctions evasion, processing transactions that do not reflect a genuine sale of your own goods or services, or using the Service or its payment features for unauthorised, illegitimate or unlawful transactions.
  • Phishing, spam and deceptive messaging — phishing, social engineering, spoofing, or sending unsolicited, bulk or deceptive messages, including using Banzena's email or newsletter features in breach of anti-spam laws or without the recipient's required consent.
  • Malware and harmful code — uploading, hosting, transmitting or distributing malware, viruses, worms, ransomware, or any malicious or destructive code through the Service.
  • Security circumvention — probing, scanning or testing the vulnerability of the Service; breaching, disabling or circumventing authentication, security, access-control, billing or usage-limit measures; or interfering with or evading the rate limits, bot-protection or other protective controls applied to the platform.
  • Attacks on availability — denial-of-service or distributed-denial-of-service attacks, flooding, or any conduct intended or likely to overload, disrupt, degrade or impair the Service or the infrastructure, networks or systems on which it runs.
  • Cross-tenant intrusion — attempting to access, read, alter, exfiltrate or interfere with the accounts, stores, data or content of other Merchants or their customers, or any part of the platform you are not authorised to access.
  • Unauthorised data collection — scraping, harvesting, crawling, indexing or systematically extracting data, content or personal information from the Service or from other Merchants' stores by automated or manual means without our prior written permission.
  • Reverse engineering and misappropriation — reverse engineering, decompiling, disassembling or otherwise attempting to derive the source code, structure or underlying ideas of the platform, or copying, replicating or creating derivative works of any part of the Service, store templates or AI features, except to the limited extent such a restriction is prohibited by applicable law.
  • Reselling and sublicensing — renting, leasing, reselling, sublicensing, white-labelling, framing, mirroring, time-sharing or otherwise making the Service or access to it available to any third party except as expressly permitted by the Terms or a separate written agreement with us.
  • Resource abuse and excessive load — consuming platform resources in a manner that is excessive, disproportionate or abusive relative to normal store operation, including using automation, bots or scripts that place undue load on the Service or that are designed to inflate, manipulate or distort usage, metrics or our infrastructure.
  • Misuse of AI features — using the AI store builder or other AI features to generate, promote or facilitate unlawful, infringing, deceptive or prohibited content, to attempt to extract or reconstruct underlying models, prompts or training data, or in any manner that violates the usage policies of the Service or our sub-processors.
  • Impersonation and misrepresentation — impersonating Zargina, Banzena, our staff or any other person or entity, misrepresenting your identity, business or affiliation, or falsifying headers or identifiers to disguise the origin of any content or communication.

5. Multi-Tenant Boundary and Platform-Integrity Rules

Banzena is a shared, multi-tenant platform: many independent Merchant stores run alongside one another on common infrastructure provided through our sub-processors, including Cloudflare for hosting, content delivery, security and bot-protection, and transactional email delivery, and Stripe for card payment processing. Each Merchant is entitled to operate within its own boundary, and respecting that boundary is fundamental to using the Service.

You must access and use only the account, store, data and resources allocated to you. You must not attempt to reach, observe, interfere with or affect any other tenant's account, store, data, traffic or resources, and you must not take any action that compromises the isolation, security, performance, capacity or availability of the platform for other Merchants or their customers.

You must not interfere with, tamper with, bypass or attempt to manipulate the platform's infrastructure or its protective controls — including our hosting, content-delivery, security, bot-protection, rate-limiting, email-delivery and billing systems — or those of our sub-processors, and you must comply with the applicable terms and acceptable-use rules of those sub-processors. You must not use the Service in any way that could expose the platform, the Company or other Merchants to legal liability, security risk, sanctions exposure, or damage to reputation or service quality. We may set, publish and enforce technical limits — including limits on storage, bandwidth, request rates, email volume and other resources — and you must operate within those limits.

6. Merchant Store Content and Responsibility for End Customers

You are solely responsible for your store and all Merchant Content, and for the products, services and transactions you offer through it. You represent and warrant that you have all rights, licences, registrations and authority necessary to publish your Merchant Content and to sell what you sell, and that your store and its content comply with this Policy and with all applicable laws in every territory you sell to. As between you and the Company, you retain ownership of your Merchant Content, and you grant the Company the licence to host, store, reproduce, display, transmit and otherwise process your Merchant Content as necessary to operate and provide the Service, as further described in the Terms.

Your storefront must be accurate and not misleading. You are responsible for maintaining clear and lawful customer-facing terms — including your own pricing, product descriptions, shipping, returns and refund policies and any required consumer disclosures — and for honouring them. The platform fee of 1% of each confirmed sale charged by the Company, the inclusion of a custom domain with automatic SSL, and the fact that third-party payment-processing fees are separate, do not change your responsibility for your own commercial terms with your customers.

As between you and the Company, you are the controller of, and are responsible for, your end customers' relationship and personal data. You must handle customer data lawfully and only for legitimate purposes connected to fulfilling orders and running your store, must provide your customers with the privacy notices and obtain the consents the law requires, and must not use the Service to send unlawful, deceptive or unsolicited communications. You are responsible for the conduct of your store and for fairly serving, fulfilling orders for, and resolving disputes with your customers. The Company is not a party to the contract of sale between you and your customers and does not assume your obligations to them, but we may act under this Policy where Merchant Content or store conduct violates it.

7. Intellectual Property and Ownership

The Banzena platform and the Service are, and remain, the exclusive property of Zargina Artificial Intelligence Services LLC. The "Banzena" name, the Banzena logo, and all related names, marks, brands, trade dress, slogans and other indicia of origin (the "Marks"), together with the platform software, source code, object code, APIs, designs, user interfaces, store templates, AI features, models, documentation, databases and all other materials and technology comprising or underlying the Service, and all intellectual-property and proprietary rights in any of the foregoing (collectively, the "Company IP"), are owned exclusively by Zargina Artificial Intelligence Services LLC or its licensors and are protected by copyright, trademark, trade-secret, database, patent and other applicable laws of every jurisdiction. This Policy and your use of the Service grant you no ownership of, and no right, title or interest in, any Company IP, other than the limited right to access and use the Service in accordance with the Terms.

You must not, and must not permit any other person to: use, register, copy, reproduce, modify, adapt, translate, frame, mirror or create derivative works from any Company IP except as expressly authorised by the Terms; use the Marks, or any confusingly similar name, mark or domain, without our prior written consent; remove, obscure or alter any proprietary, copyright, trademark or attribution notice on or within the Service; misappropriate, disclose or make use of our trade secrets or other confidential information; or assert, register or claim any right in, or challenge our ownership of, the Company IP. Any goodwill arising from use of the Marks enures solely to the benefit of the Company. Nothing in this Policy transfers, licenses or otherwise affects the intellectual-property rights of any party except as expressly stated. Unauthorised use of the Company IP is a serious violation of this Policy and the Terms and may also infringe the laws referred to above, and we reserve all rights and remedies in respect of it.

If you provide us with any suggestions, ideas, feedback or proposals regarding the Service ("Feedback"), you grant the Company a perpetual, irrevocable, worldwide, royalty-free and fully paid-up licence to use and exploit that Feedback for any purpose without restriction, attribution or obligation to you.

8. Reporting Violations

If you believe that any store, account, content or activity on Banzena violates this Policy — including illegal or infringing content, fraud or deception, abuse, a security concern, or content that exploits or endangers others — please report it to us at support@banzena.com. This is also the contact point for intellectual-property, trademark and privacy complaints relating to the platform.

To help us act quickly, please include as much relevant detail as you can: the store, page or URL in question, a description of the issue, the date and time you observed it, and any supporting information. We review reports we receive and take the action we consider appropriate, but we do not guarantee a particular outcome or response time, and reporting a matter does not create any obligation on us beyond what this Policy and applicable law require. We may, but are not obliged to, share the substance of a report with the affected Merchant or relevant third parties to the extent permitted by law, and where unlawful content or conduct is involved, we may refer the matter to the appropriate authorities.

9. Enforcement and Consequences

We may investigate suspected violations of this Policy and may take any action we consider appropriate, proportionate to the circumstances. Depending on the nature and severity of the violation, the history of the account and the risk to the platform, other Merchants or third parties, our response may include one or more of the following, in any order and with or without prior notice:

  • issuing a warning or requiring you to remedy the violation within a specified time;
  • removing, disabling, hiding or restricting access to offending Merchant Content, products, pages or features;
  • throttling, rate-limiting or otherwise restricting your use of resources or specific functionality;
  • suspending your store, account or access, in whole or in part, including taking a store offline;
  • terminating your account and your use of the Service, and ending hosting of your store;
  • withholding, reversing or adjusting amounts where required to address fraud, chargebacks or unlawful transactions, as permitted by the Terms and applicable payment rules;
  • taking legal action and pursuing any remedies available to us, including injunctive relief; and
  • reporting the matter to, and cooperating with, law-enforcement, regulators, payment networks and other competent authorities, and preserving and disclosing information where required by law or legal process.

Where the circumstances allow and the violation is not serious, we will generally aim to give notice and an opportunity to fix the problem before suspending or terminating access. However, for serious violations — including illegal content, CSAM, fraud, security attacks, intellectual-property infringement, conduct that threatens the integrity or availability of the platform, or anything that exposes us or other Merchants to imminent legal or security risk — we may suspend or terminate immediately and without prior notice. Suspension or termination under this Policy does not relieve you of fees or other amounts already owed, does not entitle you to any refund except as expressly provided in the Terms, and does not limit any other rights or remedies available to us under the Terms or at law. We are not liable to you or to any third party for any action taken in good faith to enforce this Policy.

10. Our Discretion and Reservation of Rights

Determining whether content or conduct violates this Policy, and deciding what enforcement action to take, rests in the Company's sole reasonable discretion. We may act under this Policy to protect the platform, our Merchants, their customers, our sub-processors, the public or ourselves, including in response to legal, regulatory, security or payment-network requirements.

We have no general obligation to monitor Merchant Content or activity, and we do not pre-screen or endorse the stores, products or content published on Banzena. We do, however, reserve the right — but assume no duty — to review, monitor, investigate, and remove or restrict content and activity at any time. The rights described in this Policy are in addition to, and do not limit, any other rights or remedies available to the Company under the Terms, at law or in equity. Any failure or delay by us in enforcing this Policy is not a waiver of our right to enforce it later, and no single or partial exercise of any right precludes any further exercise of it or of any other right.

11. Disclaimers, Limitation of Liability and Indemnification

The Service is made available on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, and without limiting the disclaimers and limitations set out more fully in the Terms (which apply to this Policy in full), the Company disclaims all warranties, conditions and representations of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, and we are not responsible for the acts, omissions, content, products or conduct of any Merchant, customer or other third party using the platform.

To the maximum extent permitted by applicable law, the Company and its officers, directors, employees, agents, licensors and sub-processors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data or business opportunity, arising out of or relating to this Policy, your use of or inability to use the Service, any enforcement action taken under this Policy, or the conduct or content of any Merchant, customer or third party, whether based in contract, tort (including negligence), strict liability or any other theory, and whether or not the Company has been advised of the possibility of such damages. The aggregate liability of the Company arising out of or relating to this Policy is subject to, and shall not exceed, the limitation-of-liability cap set out in the Terms. Nothing in this Policy excludes or limits any liability that cannot lawfully be excluded or limited.

You agree to indemnify, defend and hold harmless the Company and its officers, directors, employees, agents, licensors and sub-processors from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach or alleged breach of this Policy or the Terms; (b) your Merchant Content, your store, or the products, services and transactions you offer; (c) your violation of any law or of the rights of any third party, including intellectual-property, privacy, consumer-protection or payment-network rules; or (d) any dispute between you and your end customers or any other third party. The Company may, at its option and expense, assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with the Company in asserting any available defences, and you will not settle any such matter without the Company's prior written consent.

12. Changes to this Policy

We may update this Policy from time to time to reflect changes in our Service, our infrastructure or sub-processors, legal or regulatory requirements, or platform-integrity and abuse-prevention needs. When we make changes, we will revise the date shown with this Policy, and where the changes are material we will take reasonable steps to bring them to your attention.

The current version always applies to your use of the Service. Your continued access to or use of the Service after a change takes effect means you accept the updated Policy. If you do not agree with a change, you must stop using the Service. We may also make changes required to address an urgent legal, security or platform-integrity risk with immediate effect.

13. General; Severability and Survival

If any provision of this Policy is held to be invalid, illegal or unenforceable by a court or tribunal of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable or, if it cannot be so modified, severed from this Policy, and the remaining provisions will continue in full force and effect. The headings in this Policy are for convenience only and do not affect its interpretation. This Policy is for the benefit of the Company and, where stated, its officers, directors, employees, agents, licensors and sub-processors, and confers no rights on any other third party.

Any provision of this Policy that by its nature should survive termination or suspension of your account or access — including the provisions on intellectual property and ownership, prohibited content and activities, enforcement, disclaimers, limitation of liability, indemnification, reservation of rights, and this general section — survives and continues to apply after such termination or suspension.

14. Monitoring, Investigation and No Expectation of Privacy

The Company does not routinely monitor the content of individual stores and is not obligated to do so. However, to protect the security, integrity and lawful operation of the platform and its users, the Company reserves the right (but assumes no obligation) to monitor, scan, review and investigate use of the Service, Merchant Content and platform traffic, including by automated means, and to access, preserve and disclose information where it reasonably believes doing so is necessary to operate the Service, enforce these policies, comply with law, respond to lawful requests, prevent fraud, abuse or harm, or protect the rights, property or safety of the Company, its users or the public.

You acknowledge that, with respect to platform-integrity, security and abuse-prevention scanning, you have no expectation of privacy in data transmitted through or stored on the platform to the extent such scanning is necessary for those purposes. Any such monitoring will be conducted in accordance with applicable law and the Privacy Policy.

15. Security Research and Responsible Disclosure

The Company welcomes good-faith security research. If you believe you have discovered a security vulnerability in the Service, you may investigate and report it provided that you act in good faith; do not access, modify, delete or exfiltrate data that does not belong to you; do not degrade, disrupt or overload the Service or other users' stores; do not publicly disclose the issue before the Company has had a reasonable opportunity to remediate it; and do not violate any applicable law. Report suspected vulnerabilities promptly to support@banzena.com.

Good-faith security research conducted in accordance with this section and in compliance with applicable law is authorised by the Company and is not a violation of this Policy. Activity that exceeds the scope described in this section — including any access to other tenants' data, denial-of-service testing, social engineering of Company personnel or users, or physical attacks — is not authorised and remains prohibited.

16. Cooperation with Law Enforcement

The Company may report activity that it reasonably believes to be unlawful to the appropriate authorities and may cooperate with law-enforcement agencies, regulators and other parties in the investigation and prosecution of suspected unlawful activity, including by disclosing information consistent with the Privacy Policy and applicable law. Suspension or termination of an Account under this Policy does not limit any other remedy available to the Company, which reserves all rights to pursue legal action for violations.

17. Governing Law and Contact

This Policy forms part of the Terms and is governed by, and interpreted in accordance with, the laws of the Emirate of Abu Dhabi, United Arab Emirates, without regard to its conflict-of-laws principles, and any dispute relating to it is subject to the governing-law, jurisdiction and dispute-resolution provisions set out in the Terms.
